Society Bylaws:

Article I. Name.
The name of the organization is the Society for the Study of the Holy Roman Empire (SSHRE) [henceforth the Society].

Article II. Purpose.
The purpose of this not-for-profit corporation is to promote the scholarly study of the history and culture of the Holy Roman Empire. The Society is also dedicated to publishing a bi-annual peer-reviewed e-journal, The Journal of the Holy Roman Empire [henceforth the Journal].

Article III. Membership.
Membership is obtained by payment of annual dues, currently set at $5 US per year ($3 US per year for graduate students), to the Treasurer of the Society. Membership is open to scholars in all fields who have reached a post-bachelor's degree academic standing.

Article IV. Executive Board and Officers.
The Society shall have an Executive Board consisting of three officers: President, Vice-President/Secretary, and Vice-President/Treasurer. All officers shall serve terms of office lasting two (2) years. The sitting Vice-President/Secretary shall succeed an outgoing President. Other than the President, the officers shall be nominated by a Nominating Committee and elected by the majority of the membership present at the annual meeting of the Society. All newly elected officers shall take office immediately upon election. The Nominating Committee shall consist of the three most recent past officers. There is no limit to length of service in any office. The Executive Board shall also contain a non-voting representative of H-HRE, chosen by the Editors of H-HRE in whatever manner they see fit.

Article V. Duties of Officers.
The duties of the officers shall be as follows:
(a) President. The President shall call and preside over all meetings of the Executive Board and Society, monitor the activities of all committees, and oversee the operation of the organization, including oversight of the Journal. In the absence of the Treasurer, the President shall execute bank drafts or write checks on the Society's funds. The President will share with both Vice-Presidents the duties of calling for, coordinating, and accepting panels for sponsorship at conferences.
(b) Vice-President/Secretary. The Vice-President/Secretary shall keep minutes of all meetings. The Vice-President/Secretary shall also be responsible for maintaining a current list of members; for sending any mailings to members; for disseminating information about the Society and the Journal; issuing calls for articles for the Journal; and for attracting new members to the Society. The Vice-President/Secretary will maintain and develop affiliate relationships with other professional societies, especially H-HRE. The Vice-President/Secretary will share with the President and Vice-President/Treasurer the duties of calling for, coordinating, and accepting panels for sponsorship at conferences, and for overseeing the Journal. Finally, the Vice-President/Secretary shall work in cooperation with the H-HRE Editor in order to maintain the membership lists and deal with other matters of concern to both organizations.
(c) Vice-President/Treasurer. The Vice-President/Treasurer shall perform all duties related to the finances of the organization and report on the financial condition of the organization on a regular basis. This includes, but is not limited to, maintaining the financial records; receiving and being accountable for all funds belonging to the Society; paying all authorized invoices of expenditures incurred by the Society or by the Journal; and rendering annual financial reports to the membership. The Vice-President/Treasurer shall present a report of the past year's income and expenditures at the annual business meeting of the Society. The Vice-President/Treasurer will share with the President and Vice-President/Secretary the duties of calling for, coordinating, and accepting panels for sponsorship at conferences, and for overseeing the Journal.

Article VI. Committees.
Committees, both standing and special, may be created by the Executive Board as necessary. The President serves ex-officio on all committees. Each Committee shall present a report on its activities to the Executive Board or the membership on a regular basis.

Article VII. Meetings of the Executive Board.
Section 1. The Executive Board shall meet (either in person, by telephone, or by e-mail) as necessary, at least once per year.

Article VIII. Annual Meeting.
The Society will hold a meeting at least once per calendar year at a date to be determined by the Executive Board. Unless otherwise specified in these bylaws, a motion shall be considered passed with a majority vote of those members present at any regular or special meeting. At the annual meeting, all active members present shall constitute a quorum. Only paid members of the Society may vote on business issues.

Article IX. The Journal of the Holy Roman Empire.
(a) Editors and Advisory Board.
The Executive Board of the Society shall oversee the bi-annual online publication of the Journal, and shall chose (by majority vote of the Executive Board) Editors and Advisory Board Members, who shall serve renewable two (2) year terms. The Editors of the Journal shall be responsible for choosing appropriate and qualified Peer Reviewers, Copy Editors, Authors, and Book Reviewers. All conflicts arising between or among any of these individuals or groups shall be resolved by a majority vote of the Editors and Advisory Board of the Journal.
(b) Access to the Journal.
Access to the Journal shall be free of charge and open to the public.

Article IX. Amendments to the Bylaws.
All bylaws of SSHRE shall be subject to amendment or repeal, or new bylaws may be adopted by a two-thirds vote of a meeting of the membership.
